Constitution

Article I: Name

a. The name of this organization shall be Women in Music–Columbus, Incorporated, of Columbus, Ohio.

b. This organization was founded in 1882 and incorporated with the State of Ohio as a nonprofit educational and charitable organization in 1920.

Article II: Purpose

a. To contribute to the cultural growth of our community through quality musical performances

b. To enrich the lives of the young people of central Ohio through music

c. To promote works by women composers

d. To exercise any and all rights, powers, privileges, and exemptions which are now or which may hereafter be conferred upon corporations organized pursuant to the nonprofit corporation laws of the State of Ohio, as they now exist or may be amended or supplemented.

Article III: Membership

a. Membership is open to all women who subscribe to the purposes of WMC

b. Categories of membership are described in the By-Laws (1)

Article IV: Board of Trustees

Section 1.

The management of the corporation shall be vested in an eight member Board of Trustees who shall approve and direct the business of the corporation. They shall be elected and serve as described in the By-Laws (1V).

Section 2.

Three members shall constitute a quorum for the transaction of business by the Executive Committee. Five members shall constitute a quorum for the transaction of business by the Board of Trustees.

Section 3.

Upon assuming office, all members of the Board of Trustees may, at the expense of the corporation, be protected by the proper form of insurance covering money and securities, as directed by the Board of Trustees.

Article V: Officers

The officers of the Corporation constitute the Executive Committee and shall be a President, Vice-President, Secretary, and Treasurer.

Article VI: Meetings

Section I.

The annual meeting shall be held in June of each year. This date shall be published in the yearbook. The purpose of this meeting shall be to receive reports of the business and activities of the Corporation and to transact other business that may arise.

Section 2.

Special meetings of the membership may be called by a two-thirds vote of the Board of Trustees (6) or by request of one-fourth of the membership for other transaction of business. One-month advanced notice must be given in writing to the membership. The President shall preside at such a meeting.

Article VII: Amendments

The Constitution may be amended by a two-thirds vote of the membership responding to a mailed secret ballot upon authorization of the Board of Trustees. These ballots must be mailed by first-class mail postmarked at least thirty days before the postmarked deadline date for the return of the ballots. Postmarked deadline date must be printed on the ballot. This process of constitutional amendments must take place between September 1 and May 1.

Article VIII: Disbandment

In the unlikely event that WMC would disband, the organization’s funds will be placed at the Columbus Foundation in a fund that supports classical music in Franklin County, Ohio.
